Agreement to these Terms
These Terms of Service govern your access to and use of superagnt's website, web app, AI operator, connected messaging channels, tool integrations, memory, documentation, and related services. By creating an account, connecting a channel or tool, letting the operator act on your behalf, or otherwise using the service, you agree to these Terms.
If you use superagnt for an organization, you represent that you are authorized to accept these Terms for that organization. If you do not agree, do not use the service.

Accounts and workspaces
You are responsible for the activity in your account, workspaces, connected channels, connected accounts, and other credentials. Keep login credentials, access tokens, and connection secrets confidential and promptly rotate or revoke any credential you believe may be compromised.
You must provide accurate account and billing information and keep it current. We may suspend or terminate access if account information is inaccurate, your use creates security or operational risk, or you violate these Terms.

Acceptable use
You may use superagnt only for lawful purposes and in accordance with applicable laws, regulations, third-party rights, and documentation. You are responsible for the instructions, tasks, workflows, content, data, and actions created through your account.
- »Do not use the service to violate privacy rights, intellectual property rights, anti-spam laws, export controls, sanctions, or platform terms that apply to your activity.
- »Do not attempt to bypass rate limits, usage limits, authentication, billing, access controls, filtering, monitoring, or security protections.
- »Do not reverse engineer, disrupt, scan, overload, scrape, or attack the service or any infrastructure used to provide it, except as expressly allowed by a written security testing authorization from us.
- »Do not transmit malware, credentials you are not authorized to use, unlawful content, or data that you are prohibited from processing through the service.

The operator and its actions
superagnt provides an AI operator that reads context from your connected channels and tools and takes actions on your behalf according to your instructions and configured permissions. You decide what to connect, what the operator may access, which actions require your approval, and how to use its output.
Because the operator can act autonomously, you are responsible for reviewing its permissions and approving high-impact actions. Actions taken and output produced by the operator, models, tools, or upstream providers may be incomplete, delayed, inaccurate, unavailable, or unsuitable for your use case. Review results before relying on them, especially for legal, financial, employment, credit, healthcare, safety, or other high-impact decisions.

Third-party services and data
The service integrates with third-party messaging channels, tools, APIs, identity providers, model providers, hosting providers, payment processors, and customer-connected accounts. Third-party services are not controlled by superagnt, and their availability, data quality, pricing, terms, and behavior may change.
When you connect a third-party account or ask the operator to act in a third-party service, you represent that you have the rights and permissions needed to do so. Your use of third-party services may be subject to separate terms between you and that provider.

Customer Data and ownership
As between you and superagnt, you retain ownership of the data, messages, files, records, connected-account content, and instructions you submit to or create through the service. You grant superagnt a limited license to host, process, transmit, display, and otherwise use Customer Data as needed to provide, secure, support, and improve the service.
We do not claim ownership of your Customer Data. We do not use Customer Data to train third-party foundation models unless you ask us to enable a feature that requires it or otherwise provide permission.

Billing, subscriptions, and credits
Paid plans, usage, credits, trials, discounts, included limits, overages, and renewal terms are shown at checkout, in the web app, or in the applicable order form. Unless stated otherwise, subscriptions renew automatically until canceled and fees are non-refundable except where required by law.
Credits are a metering mechanism for superagnt usage. Credits are not legal tender, have no cash value, are non-transferable unless we permit it, and may expire or be limited as described in the web app, docs, or applicable order. We may change prices, plan limits, credit rates, and packaging with notice where required.

Beta and preview features
We may offer beta, preview, experimental, or free features. These features may be modified, suspended, or discontinued at any time and may be subject to additional limits. Beta and preview features are provided as-is and may be less reliable than generally available features.

Confidentiality
Each party may receive non-public information from the other that is marked confidential or should reasonably be understood as confidential. The receiving party will use confidential information only to perform under these Terms and will protect it using reasonable care. Confidential information does not include information that is public, independently developed, rightfully received from another source, or approved for release.

Security
We maintain administrative, technical, and organizational safeguards designed to protect the service and Customer Data. You are responsible for configuring your workspaces, connected channels, connected accounts, operator permissions, and user access appropriately for your use case.
You must notify us promptly if you become aware of unauthorized access to your account, workspace, credentials, connected accounts, or Customer Data.

Intellectual property
superagnt and its licensors own the service, software, documentation, designs, trademarks, and other technology we provide. Except for the rights expressly granted to you, we reserve all rights in the service.
If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation. We will not identify you publicly as the source of feedback without your permission.

Suspension and termination
You may stop using the service at any time. You may cancel paid subscriptions through the web app or by contacting us. We may suspend or terminate access if you breach these Terms, create risk for superagnt, other customers, or third parties, fail to pay amounts due, or if continued access would violate law.
After termination, you remain responsible for amounts owed and for your use of data or output obtained through the service. We may delete Customer Data after termination according to our retention practices, unless we are required or permitted to retain it by law.

Disclaimers
The service is provided on an as-is and as-available basis. To the maximum extent permitted by law, superagnt disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted operation.
We do not guarantee that any action, model, provider, integration, operator, workflow, or connected channel will be available, accurate, complete, secure, or suitable for your intended use.

Limitation of liability
To the maximum extent permitted by law, superagnt will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities. superagnt's total liability for any claim relating to the service is limited to the amounts you paid to superagnt for the service giving rise to the claim during the three months before the event giving rise to liability, or one hundred dollars if you have not paid us.

Indemnity
You will defend and indemnify superagnt, its affiliates, and their personnel from claims, damages, liabilities, costs, and expenses arising from your Customer Data, your use of the service, your connected accounts, your violation of these Terms, or your violation of law or third-party rights.

Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new last updated date and, when required, provide additional notice. Continued use of the service after an update becomes effective means you accept the updated Terms.

Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for disputes arising from or relating to these Terms or the service.
